(NDA) Agreement Policy

At The Office Event, LLC, confidentiality is an important part of building trust with our clients, partners, vendors, and collaborators.

This Mutual Non-Disclosure Agreement Policy explains how confidential information may be protected when working with The Office Event, LLC.

Policy Overview

During consultations, strategy sessions, event planning, communications support, marketing projects, branding work, and client collaborations, both parties may share confidential or sensitive information.

​

A Mutual Non-Disclosure Agreement, also known as a Mutual NDA, may be required before proprietary information, internal documents, strategic recommendations, client data, or non-public business details are shared.

Definition of Confidential Information

Confidential information may include, but is not limited to:

  • Business plans, goals, and internal strategies

  • Marketing plans, campaign details, and audience data

  • Event plans, timelines, guest lists, budgets, and vendor details

  • Brand strategy, messaging, creative concepts, and unpublished materials

  • Client lists, stakeholder information, and partner information

  • Internal systems, workflows, templates, and planning documents

  • Financial, operational, or organizational information

  • Any non-public information shared verbally, digitally, visually, or in writing

Mutual Commitment to Confidentiality

The Office Event, LLC agrees to take reasonable steps to protect confidential information shared by clients, partners, and collaborators.

​

Clients, partners, vendors, and collaborators are also expected to protect confidential information shared by The Office Event, LLC, including proprietary processes, templates, strategy documents, planning materials, workflows, creative concepts, and business information.

​

Both parties agree not to disclose confidential information to third parties without written permission, unless required by law.

​

When an NDA May Apply

A Mutual NDA may apply to services and discussions involving:

  • Event management and event strategy

  • Communications strategy and messaging

  • Marketing and branding services

  • Campaign planning and promotional strategy

  • Stakeholder engagement planning

  • Client or vendor coordination

  • Strategic consulting sessions

  • Proprietary templates, documents, processes, or recommendations

  • Any project involving sensitive, private, or non-public information

 

Purpose of Shared Information

Confidential information should only be used for the purpose of evaluating, planning, delivering, or supporting services between the parties.

​

Confidential information may not be copied, shared, sold, reused, published, or used for personal or business gain outside the agreed purpose.

 

Exclusions

Confidential information does not include information that:

  • Is already publicly available

  • Was already known before disclosure

  • Is independently developed without using confidential information

  • Is received legally from another source

  • Must be disclosed by law, subpoena, court order, or government request

 

Third-Party Vendors and Platforms

Some projects may require communication with third-party vendors, venues, contractors, platforms, or service providers.

​

Confidential information will only be shared with third parties when necessary for the project, approved by the client, or required to complete agreed services.

The Office Event, LLC is not responsible for the confidentiality practices of third-party vendors or platforms outside our control.

Written NDA Agreement

This policy does not replace a signed Mutual Non-Disclosure Agreement.

When needed, The Office Event, LLC may require a separate signed NDA before providing proprietary documents, templates, recommendations, strategy materials, or sensitive project support.

​

If a client, partner, or collaborator requires their own NDA, it must be reviewed and agreed to before confidential information is exchanged.

​

Protection of Proprietary Materials

The Office Event, LLC’s internal systems, templates, frameworks, strategy methods, workflows, planning tools, creative concepts, and unpublished materials are proprietary unless otherwise stated in writing.

​

These materials may not be copied, reproduced, resold, distributed, modified, or shared without written permission.
